These Terms of Service (the “Terms”) form a binding agreement between Reasonable Tech Co., a Delaware corporation (“Reasonable Tech”, “we”, “us”), and you or the entity you represent (“you”, “Customer”). They govern your access to and use of Tabula, our managed-Postgres service for AI agents, including the Tabula web dashboard, REST API, Model Context Protocol (MCP) interface, command-line tooling, and any related documentation or support (collectively, the “Service”).
By creating a Tabula account, clicking “I agree” during checkout, or otherwise using the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
1. Eligibility & account responsibilities
You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction. You are responsible for safeguarding your account credentials, API keys, and any activity that occurs under your account, whether or not you authorized it. You must promptly notify us at security@reasonabletech.co if you suspect any unauthorized use.
You agree to provide accurate registration information and to keep it current. You may not share an account across people; each human using the Service must have their own credentials.
2. The Service & what it does
Tabula provisions managed Postgres databases on infrastructure operated by our third-party hosting providers (currently Neon) and exposes them to AI agents and other clients through the MCP protocol and a REST API. The Service may design, populate, and modify database schemas in response to natural-language prompts you or your agents issue.
Reasonable Tech may improve, change, or discontinue features of the Service at any time. If we discontinue a feature that materially affects your paid plan, we will give you at least 30 days’ notice and a pro-rata refund for the affected billing period.
3. Trial databases
New accounts may receive a single complimentary trial database. A trial database is fully featured for 7 days from creation. At the end of that window the database becomes read-only for 7 additional days. If the trial is not converted to a paid plan within 14 days of creation, the database and all data it contains is permanently deleted. Trial databases are provided “as is” and we make no availability guarantees for them.
4. Payment, taxes, and renewal
Paid plans are billed monthly in advance via Stripe. Subscriptions renew automatically until cancelled. Fees are stated exclusive of taxes; you are responsible for all applicable sales, use, VAT, GST, or similar taxes other than those based on our net income.
Usage-based overage fees, if any, are billed in arrears at the rates published on /pricing on the date the usage was incurred. Failed payments may suspend or terminate the Service after a 7-day grace period.
Refunds are governed by our Refund Policy.
5. Acceptable use
You must not use the Service to (a) store or transmit content that is unlawful, infringing, defamatory, or that violates anyone’s privacy rights; (b) attempt to gain unauthorized access to any system, network, or account; (c) interfere with or circumvent Service quotas, rate limits, or trial-database guardrails; (d) send unsolicited bulk communications; or (e) build a competing managed-Postgres-for-AI-agents product using the Service.
We reserve the right to suspend access immediately and without notice for conduct that, in our reasonable judgment, threatens Service stability or other customers. Where practical we will contact you first.
6. Data ownership & intellectual property
You retain all rights, title, and interest in the data you store in or send through the Service (“Customer Data”). You grant Reasonable Tech a worldwide, non-exclusive, royalty-free license to process Customer Data solely to operate, maintain, and improve the Service for you, and to provide support you request.
Reasonable Tech retains all rights to the Service software, documentation, branding, and any improvements or aggregated statistical data that does not identify you or your end users.
7. AI agents & automated changes
The Service is designed to be operated by AI agents you authorize. You are responsible for the actions those agents take using your API keys, including schema changes, data writes, deletions, and billable usage. AI output can be wrong, incomplete, or destructive in ways no human authored. You should review schema changes before relying on them in production and maintain backups of any data whose loss would harm you.
Reasonable Tech makes no representation that AI-generated SQL, schema designs, or recommendations are fit for any particular purpose, comply with any regulation, or are free of bugs.
8. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
To the maximum extent permitted by law, Reasonable Tech’s aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid to us in the 12 months preceding the event giving rise to the claim, or (b) USD $100. In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, even if advised of the possibility of such damages.
10. Termination
You may cancel your subscription at any time from the billing page; cancellation takes effect at the end of the current billing period. We may terminate or suspend your account for material breach of these Terms with 14 days’ written notice unless the breach is incurable or violates Section 5, in which case termination may be immediate. On termination, you may export your data for 30 days, after which we may permanently delete it.
11. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that cannot be resolved informally is the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to your account address and will take effect no sooner than 30 days after notice. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
